Additional Terms of Service Clauses for Viral Values

The following clauses supplement the Viral Values Terms of Service. These clauses should be incorporated into your existing Terms of Service document.

Force Majeure

Viral Values shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control ("Force Majeure Event").

Force Majeure Events include, but are not limited to:

  • Natural disasters (earthquakes, floods, hurricanes, wildfires)
  • Pandemics, epidemics, or public health emergencies
  • Acts of war, terrorism, civil unrest, or armed conflict
  • Government actions, orders, restrictions, or embargoes
  • Supply chain disruptions or shortages
  • Shipping carrier delays or failures
  • Labor disputes or strikes
  • Power outages or telecommunications failures
  • Cyberattacks or system failures beyond our control

In the event of a Force Majeure Event, we will use reasonable efforts to notify affected customers and resume performance as soon as practicable. Our obligations will be suspended for the duration of the Force Majeure Event, and delivery times will be extended accordingly.

If a Force Majeure Event continues for more than sixty (60) days, either party may cancel the affected order. In such cases, we will provide a full refund for any unshipped items.

Product Liability and Disclaimer

Third-Party Suppliers

Many products sold through Viral Values are manufactured, sourced, or supplied by third-party vendors and suppliers. We do not manufacture these products and do not independently verify product specifications, ingredient lists, safety information, or other details provided by suppliers.

Product descriptions, images, specifications, and other information displayed on our website are provided by third-party suppliers and manufacturers. While we strive to ensure accuracy, we cannot guarantee that all product information is complete, accurate, current, or error-free.

Limitation of Product Liability

To the fullest extent permitted by applicable law, Viral Values shall not be liable for:

  • Any injury, illness, damage, or loss arising from the use or misuse of any product purchased through our Services
  • Product defects caused by manufacturing, design, or materials, except as required by applicable product liability laws
  • Inaccurate or incomplete product information provided by third-party suppliers
  • Products that do not meet your expectations based on third-party descriptions or images

Your Responsibility

By purchasing products from Viral Values, you acknowledge and agree that:

  • You are responsible for researching products before purchase
  • You will follow all product instructions, warnings, and safety guidelines
  • You will use products only for their intended purpose
  • You assume all risks associated with the use of purchased products

Nothing in this section limits any rights you may have under applicable consumer protection laws that cannot be waived or limited by contract.

Health, Allergy, and Safety Warnings

Viral Values sells products that may include consumables, cosmetics, skincare, supplements, and personal care items. Product information, including ingredient lists, is provided by third-party suppliers and manufacturers. We do not independently verify ingredient information or conduct independent safety testing.

Customer Responsibility

Before purchasing or using any product, you are solely responsible for:

  • Reviewing all product information, including ingredient lists, on the product page
  • Identifying any ingredients to which you may have allergies, sensitivities, or adverse reactions

Allergy and Sensitivity Disclaimer

Viral Values is not responsible for allergic reactions, adverse effects, or injuries resulting from:

  • Your failure to review product ingredients before purchase or use
  • Ingredients not disclosed or inaccurately disclosed by third-party suppliers
  • Your failure to consult a healthcare provider regarding allergies, sensitivities, or medical conditions
  • Improper use of products or failure to follow product instructions

If you have known allergies or sensitivities, do not purchase or use products without first verifying all ingredients with the manufacturer or a qualified professional.

Medical Disclaimer

Products sold on our website are not intended to diagnose, treat, cure, or prevent any disease unless explicitly stated and approved by relevant regulatory authorities. Statements about products have not been evaluated by the Food and Drug Administration (FDA) or other regulatory bodies.

Products sold through Viral Values may be shipped from international locations, including but not limited to China and other countries. Shipping times and delivery estimates vary based on destination and shipping method selected.

Customer Responsibilities for International Orders

If you are ordering from outside the United States, or if your order is shipped internationally, you acknowledge and agree that:

  • Customs Duties and Taxes: You are solely responsible for all import duties, customs fees, tariffs, taxes (including VAT or GST), and other charges imposed by your country's customs authorities. These fees are not included in product prices or shipping costs and are not collected by Viral Values.
  • Customs Clearance: You are responsible for ensuring your order clears customs in your destination country. Viral Values is not responsible for delays, seizures, or returns caused by customs issues.
  • Compliance with Local Laws: You are responsible for ensuring that the products you order comply with all applicable laws and regulations in your destination country. Some products may be restricted or prohibited in certain countries.
  • Accurate Information: You must provide accurate shipping information, including any required customs documentation or identification numbers.

Shipping Restrictions

We reserve the right to limit or refuse shipments to certain countries or regions at our sole discretion. Restricted destinations may change without notice based on shipping carrier policies, regulatory requirements, or other factors.

Delivery Times

International shipping times are estimates only and are not guaranteed. Delays may occur due to:

  • Customs processing and inspections
  • Local postal service delays
  • Holidays and peak shipping periods
  • Force Majeure Events (as defined above)

Viral Values is not liable for delays caused by customs or international shipping carriers.

Refunds for International Orders

If an international order is returned to us due to customs rejection, failure to pay customs fees, incorrect shipping information, or refusal of delivery, we will refund the product price minus original shipping costs and any return shipping fees incurred.

Subscriptions and Recurring Orders

Subscription Services

Viral Values may offer subscription or recurring order services for select products. By enrolling in a subscription, you agree to the following terms:

Subscription Enrollment

  • You authorize Viral Values to automatically process recurring orders and charges based on your selected subscription frequency (e.g., weekly, monthly, quarterly)
  • Subscription frequency options will be displayed at the time of enrollment
  • You must provide valid payment information to enroll in a subscription

Billing

  • Billing occurs at the time of shipment for each subscription order
  • You will receive an email notification before each subscription order is processed
  • You are responsible for ensuring your payment information is current and valid
  • If payment fails, we may attempt to process the payment again or cancel your subscription

Pricing

  • Subscription pricing is subject to change. We will notify you of any price changes before your next subscription order is processed
  • You may cancel your subscription if you do not agree to the new pricing

Cancellation and Modifications

  • You may cancel your subscription at any time through your account settings or by contacting us at legal@viralvalues.net
  • Cancellation requests must be received before the next scheduled shipment to avoid being charged for that order
  • You may modify your subscription frequency, skip an order, or change products through your account settings (where available) or by contacting us

Refunds for Subscription Orders

Subscription orders are subject to our standard Return and Refund Policy. If you wish to return a subscription order, please contact us within 7 days of delivery.

Pre-Orders and Backorders

Pre-Order Terms

Viral Values may offer products available for pre-order before they are in stock. By placing a pre-order, you agree to the following:

  • Estimated Availability: Pre-order product pages will display an estimated availability or ship date. These dates are estimates only and are subject to change.
  • Billing: Pre-orders are billed at the time of shipment, not at the time the order is placed.
  • Cancellation: You may cancel a pre-order at any time before it ships by contacting us at legal@viralvalues.net.
  • Changes: We reserve the right to modify, delay, or cancel pre-order products. If a pre-order is cancelled by us, you will receive a full refund.

Backorder Terms

If an item you order is out of stock, we may offer to place the item on backorder. By accepting a backorder, you agree that:

  • The item will ship when it becomes available
  • Estimated restock dates are not guaranteed
  • You may cancel a backorder at any time before shipment
  • Backorders are billed at the time of shipment

We will notify you of any significant delays to your pre-order or backorder.

Data Breach Notification

Our Commitment

Viral Values takes the security of your personal information seriously. We implement reasonable administrative, technical, and physical safeguards to protect your data. However, no security measures are completely infallible.

Notification Procedures

In the event of a data breach that compromises your personal information, we will:

  1. Investigate: Promptly investigate the nature and scope of the breach
  2. Contain: Take immediate steps to contain the breach and prevent further unauthorized access
  3. Notify: Notify affected customers in accordance with applicable federal and state laws, including but not limited to the Illinois Personal Information Protection Act

  • Steps we are taking to address the breach
  • Recommended steps you can take to protect yourself
  • Contact information for questions or concerns

Timing

We will provide notification as expeditiously as possible and without unreasonable delay, consistent with the legitimate needs of law enforcement and any measures necessary to determine the scope of the breach and restore system integrity.

Arbitration Agreement and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS.

Agreement to Arbitrate

You and Viral Values agree that any dispute, claim, or controversy arising out of or relating to these Terms, our Privacy Policy, our products, or our Services (collectively, "Disputes") will be resolved exclusively through final and binding individual arbitration, rather than in court, except as otherwise provided below.

This Arbitration Agreement is governed by the Federal Arbitration Act (FAA) and shall apply to the fullest extent permitted by law.

Exceptions to Arbitration

This Arbitration Agreement does not apply to:

  • Claims that may be brought in small claims court if they qualify
  • Claims for injunctive or equitable relief to protect intellectual property rights
  • Any claims that cannot legally be subject to mandatory arbitration under applicable law

Class Action Waiver

YOU AND VIRAL VALUES AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Unless both you and Viral Values agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class, collective, or representative proceeding.

Arbitration Procedures

  • Arbitration Administrator: Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at www.adr.org
  • Location: Arbitration will take place in Cook County, Illinois, unless you and Viral Values agree to a different location or to conduct the arbitration by phone or video conference
  • Arbitrator Authority: The arbitrator will have exclusive authority to resolve all Disputes, including whether any claim is subject to arbitration
  • Arbitrator's Decision: The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction

Costs

  • Viral Values will pay all AAA filing fees and arbitrator costs for claims under $10,000, unless the arbitrator finds your claim is frivolous
  • Each party is responsible for its own attorneys' fees unless the arbitrator awards fees to the prevailing party under applicable law

Opt-Out Right

You may opt out of this Arbitration Agreement within thirty (30) days of first accepting these Terms by sending written notice to:

Your opt-out notice must include your name, address, email address, and a clear statement that you wish to opt out of the Arbitration Agreement.

If you opt out, you may pursue claims in court, and Viral Values may also pursue claims against you in court.

Severability

If any part of this Arbitration Agreement is found to be unenforceable, the remaining provisions will remain in effect. If the Class Action Waiver is found to be unenforceable, then the entire Arbitration Agreement shall be null and void, and Disputes will be resolved in court.

BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS ARBITRATION AGREEMENT AND CLASS ACTION WAIVER AND AGREE TO BE BOUND BY THEM.

California Proposition 65 Notice

What is Proposition 65?

Gift Cards

General Terms

Gift cards purchased from Viral Values are subject to the following terms:

  • No Expiration: Gift cards do not expire
  • No Fees: We do not charge dormancy, service, or inactivity fees on gift cards
  • Non-Refundable: Gift cards are non-refundable and cannot be exchanged for cash, except where required by law
  • Non-Transferable for Cash Value: Gift cards cannot be resold, transferred for value, or redeemed for cash
  • Lost or Stolen Cards: We are not responsible for lost, stolen, or damaged gift cards. Treat your gift card like cash

Redemption

  • Gift cards may be redeemed for merchandise on our website
  • If your order total exceeds your gift card balance, you may pay the remaining balance with another payment method
  • If your order total is less than your gift card balance, the remaining balance will remain on your gift card for future use
  • Gift cards cannot be used to purchase other gift cards

Promotional Codes and Discounts

General Terms

Promotional codes, coupons, and discounts offered by Viral Values are subject to the following terms:

  • Cannot Be Combined: Promotional codes cannot be combined with other offers, discounts, or promotions unless explicitly stated
  • Minimum Purchase: Some promotional codes may require a minimum purchase amount, which will be stated in the offer terms
  • Exclusions: Certain products, categories, or sale items may be excluded from promotional offers
  • Expiration: Promotional codes are valid only during the specified promotional period and expire at 11:59 PM CST on the expiration date unless otherwise noted
  • Limited Quantities: Some promotions may be limited to a specific number of uses or customers

Restrictions

  • Promotional codes are non-transferable and may not be sold or auctioned
  • Promotional codes have no cash value and cannot be redeemed for cash
  • We reserve the right to modify or cancel any promotion at any time without notice
  • Promotional codes cannot be applied retroactively to previous orders
  • If you return items from an order where a promotional code was used, your refund will reflect the discounted price paid

Abuse

We reserve the right to void, cancel, or refuse to honor any promotional code that we determine, in our sole discretion, was obtained through unauthorized channels, used in violation of these terms, or used in a manner that constitutes fraud or abuse.
